2. User Content

The Service may allow you to upload, submit, store, send, or receive content (collectively, “User Content”). You retain ownership of any intellectual property rights that you hold in that User Content.

By uploading, submitting, storing, sending, or receiving User Content, you grant 99Clubhouse a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such User Content.

You represent and warrant that:

• You own or control all rights in and to the User Content and have the right to grant the license granted above to 99Clubhouse and its affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
• All of your User Content do and will comply with these Terms.

3. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by 99Clubhouse, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4. Termination

We may terminate or suspend your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate these Terms, you may discontinue using the Service.

5. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. 99Clubhouse makes no warranty that the Service will be uninterrupted, timely, secure, or error-free.

8. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.
